42nd Street Designs, Inc. offers brand design services, including but not limited to logo design, graphic design, and branding consultations. The specifics of the services provided will be outlined in individual project agreements.

2. Intellectual Property

All intellectual property rights, including copyrights, trademarks, and designs, associated with the services provided by 42nd Street are owned by 42nd Street Designs, Inc. during the project's development (unless otherwise stated in writing). Upon completion and receipt of final payment, all ownership is transferred to the Client, who will grant 42nd Street Designs, Inc. the right to use the work in case studies and portfolios.

3. Payment Terms

Payment terms for our services will be outlined in project agreements. Failure to make timely payments may result in the suspension of services or termination of the project. Due to the fact you can pause your subscription at any point and time per your discretion, no refunds will be issued once payment is made.

4. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the execution of design projects. Delays or additional costs incurred due to incomplete or inaccurate information will be the responsibility of the client.

5. Confidentiality

Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the project.

6. Termination of Services

Either party may terminate services with written notice if the other party breaches any material term of these terms and conditions.

7. Limitation of Liability

42nd Street Designs, Inc. is not liable for any indirect, incidental, consequential, or special damages arising out of or in connection with our services, even if advised of the possibility of such damages.

8. Indemnification

Clients agree to indemnify and hold harmless 42nd Street Designs, Inc. from any claims, liabilities, damages, or expenses arising out of the client's use of our services or the client's breach of these terms and conditions.

9. Changes to Terms and Conditions

We reserve the right to update and modify these terms and conditions at any time. Changes will be effective immediately upon posting to our website.
